Legal Terms of Lodgement

One of the first documents you find in a Tender is a declaration to be bound by the contents of the tender (the Terms of Lodgement) (often called a B1 because it is often the first thing to appear in the Schedules attached to the Formal Tender). It identifies the person making the declaration, their legal relationship to the Tenderer, their legal ability to bind the Tenderer and the Terms of that binding that can be assumed upon lodgement. When you understand how important this declaration is, it may be surprising to you how little effort is made by Issuers to ensure that this declaration is legally strong and enforceable. Its worth taking a bit of time to get it right, because the ability to take action after the event may hinge upon this declaration.
